TERMS OF USE

These Terms of Use (the “Terms”) are between you, the user of our Services (“you”, the “End User”) and Mako Financial Technologies, Inc., (“Mako”, “we”, “us”). This Terms apply when you accept them, such as by creating an account on or using our form completion and e-signature web application and any of its associated services, such as technical support services, if such services are made available to you (the “Services”).
Please read these Terms carefully as they contain your rights and obligations when you use our Services. If you don’t agree with these Terms, you may not use our Services, and you should reach out to the entity which provided you with access to the Services (each a “Partner”), or reach out to us at support@makofintech.com so that we can delete your account.

1. DEFINITIONS
“Intellectual Property” means any and all intellectual property, including without limitation, works, inventions (whether patentable or not), discoveries, improvements, trade secrets, know-how, scientific formulae, data, information, images, reports, results, analysis, software, models, research and development information, technical information, prototypes, specifications, patterns, drawings, algorithms, products, compositions, processes and protocols, methods, tests, devices, computer programs, trade-marks and any and all proprietary rights provided under patent law, copyright law, trademark law, design patent or industrial design law, semiconductor chip or mask work law, or any other statutory provision or civil or common law principles applicable to the protection of intangible proprietary information or rights, including trade secret law, which may provide a right in any of the foregoing as well as any and all applications, registrations or other evidence of a right in any of the foregoing.
“Third Party Services” means the services, applications, technologies, software and services provided by third parties which are available through or as a result of the Services, including, without limitation, through plug-ins or application programming interfaces.
"Template" means any template or schema (generic or, as the case may be, customized) created by Mako and used to structure interfaces within the Services, such as digital forms, and which are used to design workflows, processes and integrations with Third Party Services for Partners.
2. FORM COMPLETION
2.1 You agree and understand that our Partners determine the content and nature of the information which they request their End Users to share when filling forms. Mako does not control which information is requested by the Partners, and you should reach out to such Partners for any questions regarding the filling of any forms.
2.2 Our Partners also decide which Third Party Services they would like to connect to our Services. Depending on our Partners’ instructions, these Third Party Services may process personal information about End Users and have access to information about you through the Services, including to perform ancillary tasks such as validating your identity. Third Party Services are not suppliers of Mako, and you should always review terms and conditions, as well as their privacy practices, prior for using Third Party Services. You agree that we are not liable for Third Party Services.
2.3 If you are required to share information through the Services, in response to Partners’ form completion requests or otherwise when using the Services, you represent and warrant that the information that you share is true and accurate, and that you are duly authorized to share such information through the Services. You acknowledge that providing false or misleading information may be a breach of applicable laws, including anti-money laundering regulations.
2.4 You agree that Mako will not be held responsible for the accuracy of any information you share when using the Services, and that it is your responsibility and the responsibility of the Partner who receives and processes the information you share to ensure that such information is accurate, well-formed or otherwise validated. Although Mako may, from time to time, provide for convenience certain automated means of verifying that information entered in a form is more likely to be valid, such means cannot be guaranteed to succeed and therefore, you agree that in no circumstance can Mako be held responsible for the success or failure of any data-validation systems.
2.5 You agree that our Services are provided to professional End Users who are completing forms, or to certain clients of such End Users as part of their professional relationships. If you are using the Services as a consumer, your agreement with our Partner may provide rights and obligations that supplement the rights and obligations provided in these Terms. In the event of a conflict between such an agreement and these Terms, these Terms will prevail.
3. ELECTRONIC SIGNATURES
3.1 As part of our form completion Services, Mako provides electronic signature services (“E-Signatures”) for your use. By using our E-Signatures, you agree to sign the documents by means of electronic signature and understand that affixing your electronic signature creates a legal obligation in the same way as your manual signature on a paper document. You will not dispute any agreement you entered into using our Services on the basis that it was entered into using an electronic signature.
3.2 You further agree that your use of a keypad, mouse or other device to select an item, button, icon or similar act/action, or to otherwise provide Mako, or in accessing or making any transaction regarding any agreement, acknowledgment, consent terms, disclosures or conditions constitutes your signature, acceptance and agreement as if actually signed by you in writing.
3.3 You agree that nothing in these Terms of Use may be construed to make Mako a party to any document electronically signed using our Services and Mako makes no representation or warranty regarding the transactions sought to be effected by any electronically signed document.
3.4 You understand and agree that certain types of agreements and documents may be excepted from electronic signature laws, or may be subject to specific regulations promulgated by various government agencies regarding electronic signatures and electronic records, and that Mako is not responsible or liable to determine whether any particular document is subject to an exception to applicable electronic signature laws, or whether it is subject to any particular agency promulgations, or whether it can be legally formed by electronic signatures.
3.5 You agree that Mako is not responsible for determining how long any contracts, documents, and other records are required to be retained or stored under any applicable laws, regulations, or legal or administrative agency processes, and that Mako is not responsible for or liable to produce any of your electronically signed documents or other documents to any third parties.
4. ACCEPTABLE USES
4.1 You warrant and represent that you will not use our Services in any manner:
- that is prohibited by applicable laws (including any laws in relations to anti-money laundering, financial crimes, foreign trade regulations, and export control laws) these Terms or the policies which we reasonably make available to you from time to time.
- that will disrupt third parties’ use or enjoyment of the Services, including uses that result in automated, constant and repeated requests for data other than as intended or permitted under these Terms (e.g. denial of services and distributed denial of services attacks) or by abnormally overloading servers on Mako’s network causing portions of Mako’s network to be blocked or unavailable;
- that results in the creation, transmission, distribution or storage of material (i) in violation of the rights of third parties, including Intellectual Property and privacy rights and (ii) that is threatening, abusive, hateful, or constitutes or encourages conduct that would constitute a fraud or criminal offence or gives rise to civil liability or penalties.
- that results in (i) the sharing of identifiers and passwords between End Users or with third parties (ii) access to the Services by third parties or (iii) the use of time-sharing services, network or other means of sharing accounts.
- that involves using any robot, spider, scraper, deep link or other automated data gathering or extraction tools, program, algorithm, or methodology to access, acquire, copy or monitor the Services or any data collected, used or generated by the Services, in particular, confidential and sensitive information of other individuals collected through the Services.
- that involves decompiling, disassembling, reverse engineering, attempting to reconstruct or discovering any Intellectual Property or Confidential Information of Mako, including, without limitation, source codes, ideas, and algorithms of the Services’ underlying technology by any means whatsoever.
- that results in a violation of Third Party Services’ terms and conditions.
- that involves violating Mako security safeguards and configurations for the Services (including its network, servers and related systems), including, without limitation:
- by posting or transmitting files, data or computer text which contain viruses, worms,
Trojan horses, malicious software or any other contaminating or destructive features; - by attempting to hack any security safeguards or processes in the use of the
Services; - by attempting to access any part of the Services (or any of their related systems,
networks, servers or other equipment) which you are not authorized to access; - by attempting to disrupt in any manner the operation of the Services, its servers or
network; - by manipulating identifiers in order to disguise the origin of any content transmitted
on or to the Services, or the source of any content; - by modifying or altering the Services in any unauthorized manner.
- by posting or transmitting files, data or computer text which contain viruses, worms,
- (collectively, the “Abuses”)
4.2 Abuses. You agree that we can investigate any potential or actual Abuses, and that we may suspend your access to the Services, temporarily or permanently, in case of an Abuse committed by you. We also reserve our rights to notify law enforcement and taxation authorities of any Abuses.
5. INTELLECTUAL PROPERTY
5.1 All titles, ownership rights and intellectual property rights in and to the Services and any and all copies thereof are owned by us. Our trademarks, logos, products and Services, and our Templates, along with any underlying technologies, are our intellectual property. Except as otherwise permitted by law, please do not use or display in any manner our trademarks without obtaining our consent first. We reserve all rights not granted herein. You cannot reproduce any portion of the Services in any form or by any means, except as expressly permitted by these Terms of Use.
5.2 Notwithstanding anything to the contrary, we are the sole owner of any suggestions, enhancement requests, recommendations or other feedback that you provide to us, so long as they relate to the Services. You hereby assign to us, without limitation of any kind, all of your rights, titles and interests therein, and we accept such assignment.
6. Disclaimer.
6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW AND EXCEPT AS SET FORTH IN THIS AGREEMENT, MAKO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES. EXCEPT AS PROVIDED IN THIS AGREEMENT, THE SERVICES AND THE DOCUMENTATION ARE PROVIDED "AS IS", “AS AVAILABLE” AND “WHERE IS”. EXCEPT AS SET FORTH IN THIS AGREEMENT, THE SERVICES ARE PROVIDED WITHOUT ANY REPRESENTATION AND/OR WARRANTY OF ANY KIND TO END USERS, AND MAKO MAKES NO OTHER REPRESENTATIONS, CONDITIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, STATUTORY, LEGAL OR OTHERWISE REGARDING THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE CONTENT, OUTPUTS OR DATA WHICH ARE DERIVED FROM OR RESULTS FROM THE USE OF THE SERVICES AND EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE END USER HEREBY WAIVES ANY LEGAL WARRANTY EXCEPT AS OTHERWISE PROVIDED IN THIS AGREEMENT.
6.2 You are responsible for keeping their credentials to access their account confidential and secured, including by following information security best practices regarding passwords. You should notify your associated Partner or Mako immediately if you become aware that your account is compromised. We are not liable if you lose your credentials, or if your account is compromised through your credentials.
6.3 You agree to indemnify and hold harmless us, including our officers, directors, employees and agents, against any claims or damages resulting from your breach of these Terms, of Applicable Laws, and any intentional fault, gross negligence and fraud.
7. Limitation of Liability.
7.1 To the full extent permitted by applicable law, we are not responsible for any indirect, consequential, punitive, or exemplary damages, such as reputational damages. You agree and understand that Mako does not provide any warranty or representation to End Users, and that your use of the Services is subject to our agreement with our Partner. In consequences of the foregoing, you agree that we do not have any liability to you directly when using our Services. The foregoing does not apply to our gross negligence, fraud or willful misconduct, and neither does it apply to bodily damages and moral damages, unless permitted by applicable laws.
8. Termination and Suspension.
8.1 If you breach these Terms, we may terminate your right to access to the Services or suspend it for as long as we deem necessary. We will provide you with a notice when we do so, and we will give you the chance to explain yourself. We may terminate these Terms upon written notice to you, at any time, and subject to any agreement with our Partners. The following Sections survive the termination of these Terms: 1, 2, 3, 5, 6, 7, 8, 9, 11.
9. Governing Laws and Jurisdiction.
9.1 These Terms are governed by and construed by the laws of the Province of Québec, Canada and the laws of Canada applicable therein. Parties hereby irrevocably submit and attorn to the jurisdiction of the Courts of the district of Montreal, Province of Québec. You agree to renunciate irrevocably to your rights to participate in a class action lawsuit against Mako, or to a trial with a jury against Mako.
10. Force Majeure.
10.1 Mako will not be held liable for delays in or failure of performance hereunder due to causes beyond its reasonable control, including, cyberattacks, epidemic, pandemic (including any additional consequences or situations arising from the outbreak of coronavirus COVID-19), acts of God or public enemy, acts of government in either its sovereign or contractual capacity, flood, earthquake, and civil disobedience, unless caused or facilitated by their negligence.
11. General Provisions
11.1 If a provision of these Terms is held by a court of competent jurisdiction to be contrary to the law, inapplicable or excessive, such provision shall be changed and interpreted to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms of Use shall remain in full force and effect. No waiver of any provisions of these Terms of Use shall be effective unless agreed to in writing.
11.2 You may not assign, transfer, delegate or sub-license any of its rights or obligations hereunder (whether by operation of law or otherwise) without our prior consent. We may assign, transfer, delegate or sub-license these Terms or any parts thereof without your consent and with or without notice to you. Any unauthorized assignment, transfer, delegation or sub-license shall be considered null and void.
11.3 These Terms describe the entire understanding and agreement between you and us, and supersedes all oral and written agreements or understandings we might have had regarding the subject matter of these Terms.
